1. Electronic assent and authority
By selecting the required statements and entering the investor room, you agree to these Terms electronically. You confirm that you are at least 18, your information is accurate, and you have authority to accept for yourself and any organization you name.
2. Evaluation purpose
You may use the materials only to evaluate a possible investment or business relationship with Vocaic. You may share them only with professional advisers or colleagues who need them for that purpose and who are bound to protect them.
3. Restricted use
Do not publish, distribute, sell, scrape, reverse engineer, or use the materials to build or assist a competing product. Do not remove confidentiality labels. These restrictions do not apply to information you can document was already public, lawfully known without restriction, independently developed without use of these materials, or lawfully received from another source.
4. Access control and NDA boundary
This portal records your assent, creates a temporary browser session (an eight-hour cookie holding only a hashed token), and protects document URLs behind that session. It does not independently verify identity, prevent screenshots, or replace a separately signed, counsel-approved confidentiality agreement. No source code, credentials, customer data, raw training data or high-sensitivity trade secrets are placed here.
5. Preliminary and forward-looking materials
Materials may include prototypes, market estimates, plans, goals, targets, illustrative scenarios and forward-looking statements that can change without notice, and may be incomplete. Illustrative scenarios (including any revenue or valuation path) are hypothetical and show only the stated math; they are not projections. Recipients should conduct independent diligence and consult their own legal, tax, accounting and investment advisers.
6. No securities offer
Nothing in the room is an offer to sell or a solicitation of an offer to buy securities. Any offering would be made only through definitive documents and in compliance with applicable law. Access does not imply investor qualification, allocation or acceptance.
7. Ownership and access
Vocaic retains all rights in the materials and grants only a temporary, revocable right to review them for the evaluation purpose. Access may be suspended or revoked, and ends when you end your session or after it expires. On request, you will delete downloaded copies unless retention is required by law.
8. No warranty and contact
The materials are provided “as is.” Vocaic does not warrant completeness, accuracy, investment suitability or future results. Questions, or a request for a separately signed NDA, may be sent to agarw574@purdue.edu.
